Terms of Service

These Terms of Service (the “Terms”) govern your access to and use of PropTraderX (the “Service”). By creating an account, connecting a broker or prop-firm account, or otherwise using the Service, you agree to these Terms. If you do not agree, do not use the Service.
1. What PropTraderX is (and isn’t)
PropTraderX is automated execution software that connects to your own brokerage or prop-firm account via API and places orders according to systematic strategies and risk settings that you configure. PropTraderX:
- is NOT a broker-dealer, futures commission merchant, exchange, investment adviser, or financial planner;
- does NOT hold, custody, receive, or withdraw your funds — your money stays in your own broker/prop-firm account at all times;
- does NOT provide personalized investment, financial, legal, or tax advice; and
- does NOT guarantee any profit, payout, funded account, evaluation pass, or trading outcome of any kind.
2. No financial advice
All content, strategies, parameters, backtests, signals, and outputs provided by the Service are for informational and automation purposes only and do not constitute financial, investment, legal, or tax advice or a recommendation to buy, sell, or hold any instrument. You are solely responsible for your own trading decisions and for deciding whether any strategy is suitable for you. Consider seeking advice from a licensed professional before trading.
3. Risk disclosure
Futures and leveraged derivatives carry a substantial risk of loss and are not suitable for every investor. Among the risks you accept by using the Service:
- You may lose more than your initial deposit due to leverage and margin.
- Past performance, simulated results, and backtests are NOT indicative of future results and may not reflect real fills, slippage, fees, or liquidity.
- Markets can gap, halt, or move violently; stops and risk limits may not execute at intended prices.
- Automated systems can and do fail — software bugs, latency, connectivity loss, broker/API outages, incorrect data, and unexpected behavior can cause unintended orders, missed exits, or losses.
- Prop-firm evaluations have their own rules, and a breach (intentional or accidental) can forfeit your account and fees.
4. Your responsibilities
- You must be at least 18 years old and legally permitted to trade the relevant products in your jurisdiction.
- You are responsible for your broker and prop-firm relationships, agreements, fees, and rule compliance.
- You are responsible for keeping your credentials and API keys secure and for all activity under your account.
- You are responsible for monitoring your account; do not rely on the Service to be available, correct, or running at all times.
- You must not use the Service for unlawful purposes, market manipulation, or in violation of any exchange, broker, or prop-firm terms.
5. Service provided “as is”; no warranties
The Service is provided “as is” and “as available,” without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, accuracy, availability, uptime, or non-infringement. We do not warrant that the Service will be uninterrupted, error-free, secure, or that it will produce any particular result.
6. Limitation of liability
To the maximum extent permitted by law, in no event will PropTraderX, its operators, owners, employees, or suppliers be liable for any trading losses or for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or relating to your use of (or inability to use) the Service — even if advised of the possibility of such damages. You expressly agree that you use the Service entirely at your own risk and that you bear full responsibility for every order placed through it.
To the maximum extent permitted by law, our total aggregate liability for any claim relating to the Service will not exceed the greater of (a) the total fees you paid to PropTraderX in the three (3) months before the event giving rise to the claim, or (b) US $100.
7. Indemnification
You agree to indemnify and hold harmless PropTraderX and its operators from any claims, losses, liabilities, damages, costs, and expenses (including reasonable legal fees) arising from your use of the Service, your trading activity, or your breach of these Terms.
8. Accounts, fees, and termination
Some features require a paid subscription. Fees are described at sign-up and may change with notice. We may suspend or terminate your access at any time, including for breach of these Terms or risk to the Service. You may stop using and delete your account at any time. Sections that by their nature should survive termination (including risk disclosure, warranty disclaimers, limitation of liability, and indemnification) survive.
9. Changes to these Terms
We may update these Terms from time to time. Material changes will be reflected by updating the “Last updated” date above. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
10. Governing law
These Terms are governed by the laws of the State of California, United States, without regard to its conflict-of-laws rules, and you agree to the exclusive jurisdiction of the state and federal courts located there for any dispute, to the extent permitted by law.
